Supplier and Seller Agreement
1. PARTIES
This Supplier/Seller Agreement (the "Agreement") is concluded electronically between PAYTOSKIP BİLİŞİM HİZMETLERİ LTD (SLBT No: 00001743) ("Paytoskip") and the user who sells digital products/services to Paytoskip or through the Platform using the "Sell to Us" or a similar selling function on Paytoskip.com (the "Seller/Supplier").
2. SUBJECT MATTER OF THE AGREEMENT
This Agreement governs the terms on which the Seller offers in-game currency, in-game digital items/products or other digital assets/services accepted by the Platform to Paytoskip or through the Platform, together with the delivery process and the principles governing earnings and payments.
3. MANDATORY KYC
The Seller/Supplier must complete the KYC process requested by Paytoskip before their first sale. Paytoskip may request additional information and documents for transaction security, anti-money laundering (AML) obligations or risk assessment purposes, and may restrict sales or payments until verification is completed.
Where KYC is carried out through Veriff, identity and verification documents are not stored on Paytoskip's systems; such data may be processed and stored by Veriff on its servers abroad, and the verification result may be transmitted to Paytoskip via an API.
4. SELLER REPRESENTATIONS AND UNDERTAKINGS
The Seller represents and undertakes that they have authority to dispose of the digital product or asset offered for sale; that the product was not obtained by unlawful means, fraud, unauthorised access, a stolen payment instrument or methods infringing the rights of third parties; and that all information provided to Paytoskip is accurate.
5. DELIVERY AND TRANSACTION RECORDS
The Seller must deliver the product/service specified in the order or sale request in the agreed quantity and by the agreed method. To verify delivery, the order number, user ID, product/quantity, date and time, transaction reference, system logs and, where necessary, screenshots/video recordings may be retained.
6. EARNINGS AND PAYMENT
The Seller's earnings from sales performed in accordance with the Agreement and verified by Paytoskip may be paid to the Seller through a bank account or other payment methods supported by Paytoskip. Seller earnings are distinct from the closed-loop platform balance funded by the user for purchasing purposes.
Payment descriptions may include the reason for the transaction, order number and/or user reference. Paytoskip may request additional verification before payment for reasons relating to legal obligations or transaction security.
7. THIRD-PARTY PAYMENTS
As a general rule, a match may be required between the Seller's KYC-verified identity and the bank/payment account to which payment is to be made. Payments to or from third parties may be subject to additional review and approval by Paytoskip.
8. CANCELLATION, DISPUTES AND WITHHOLDING OF EARNINGS
Where delivery has not taken place, is incomplete or incorrect, there is a suspicion of an unauthorised transaction or fraud, or a payment institution has initiated a chargeback/dispute process, Paytoskip may temporarily withhold the relevant earnings until the necessary review is completed. Any deduction or set-off must be based on a claim or loss that can be substantiated under the Agreement, transaction records and applicable law.
9. INTELLECTUAL PROPERTY AND GAME RULES
The Seller must not infringe third parties' trade marks, copyrights or other intellectual property rights through the products or services they offer. Game publishers' TOS/EULA provisions may also be relevant to the product or service concerned. No impression should be created that Paytoskip is an official or authorised sales channel of any game publisher.
10. PERSONAL DATA
The Seller's personal data are processed in accordance with Paytoskip's Privacy Policy and Personal Data Protection Notice. Where international transfers are required, the provisions of the Personal Data Protection Law No. 89/2007 and relevant legislation apply.
11. BREACH AND TERMINATION OF THE AGREEMENT
If the Seller provides inaccurate information, fails to complete KYC, supplies an unlawful product, compromises transaction security or otherwise breaches the Agreement, Paytoskip may reject the relevant transaction, restrict the account or terminate the Agreement. The parties' accrued rights and obligations, and records that must be retained by law, remain unaffected.
12. ELECTRONIC ACCEPTANCE
Once the Seller has been given access to the text of the Agreement, the Seller accepts it electronically by ticking the relevant box and clicking the "I Accept/Confirm" button, and such acceptance serves in place of a signature. The acceptance may be retained in system records together with the user account, date and time, IP address and agreement version.
13. GOVERNING LAW
This Agreement is governed by the law of the Turkish Republic of Northern Cyprus (TRNC). Mandatory statutory provisions remain unaffected.
